Property Included in Sale. Seller hereby agrees to sell and convey to Buyer, and Buyer hereby agrees to purchase from Seller, at the price and upon the terms and conditions set forth in this Agreement, the following: (a) that certain real property more particularly described in Exhibit A attached hereto (the "Real Property"); (b) all right, title and interest of Seller in all rights, privileges, alleys, strips and gores, rights of way and easements appurtenant to the Real Property, including, without limitation, all minerals, oil, gas and other hydrocarbon substances as well as all development rights, air rights, water, water rights (and water stock, if any) relating to the Real Property and any easements, rights-of-way or other appurtenances used in connection with the beneficial use and enjoyment of the Real Property; (c) all improvements and fixtures located on the Real Property, including all buildings and structures presently located on the Real Property listed on Schedule A, as more particularly described in Exhibit A, attached hereto, and all related facilities, amenities, all apparatus, equipment and appliances used in connection with the operation or occupancy of the Real Property, such as heating and air conditioning systems and facilities used to provide any utility services, refrigeration, ventilation, garbage disposal, recreation or other services on the Real Property (all of which are collectively referred to as the "Improvements"); (d) all tangible or intangible personal property owned by Seller and used in the ownership, use or operation of the Real Property and/or Improvements, including, without limitation, the right to use any trade name now used in connection with the Real Property (the "Personal Property") and any contract or lease rights, agreements, utility contracts or other rights relating to the ownership, use and operation of the Real Property. (e) all of Seller's interest as lessor in all leases covering the Real Property and Improvements, including all tenant security and other deposits and interest earned thereon and prepaid rent and interest earned thereon. Interest on deposits and prepaid rents shall only be transferred to Buyer if applicable state law or the applicable lease requires that such funds be held in interest-bearing accounts. (e) any intangible personal property used to provide any utility servicesexclusively in the ownership, refrigerationuse, ventilation, garbage disposal, recreation operation or other services on maintenance of the Real Property and Improvements, including, without limitation: Seller’s assignable interest in all permits, licenses, governmental approvals and other entitlements relating to the Real Property and Improvements, Seller’s assignable interest in all plans, specifications and drawings relating to the Real Property and Improvements, Seller’s rights as landlord under that certain lease with HSS Systems, LLC, D/B/A HCA Patient Account Services Dallas (the “Lease”) as more fully described on the schedule attached hereto as Exhibit B (the “Schedule of Leases”) (except for any past due rents or other past due monetary obligations under such Lease as of midnight on the day before the Closing Date, all of which shall be governed by Section 7(g)(i) below), substantive correspondence and other documents related to any right to occupy any of the Improvements (excluding data in digital or computer files and any computer software or hardware), a right to all security deposits under such Lease and any and all guaranties of such Lease (subject to applicable laws and the terms of the Lease respecting said security deposits, if any), any assignable warranty and guaranty rights (provided that Seller will not be obligated to incur any cost or expense in connection with the assignment of such rights), and rights under the Contracts (as defined below) and any utility contracts or other agreements, each as they relate to the design, development, construction, ownership, use, maintenance, repair or operation of the Property (as defined below) but excluding (i) confidential information or documents not otherwise required to be provided to Buyer pursuant to this Agreement, (ii) all rights with respect to any refund of taxes applicable to any period prior to the Closing Date, or (iii) subject to Section 11 below, insurance proceeds or settlements for events occurring prior to the Closing Date (collectively, the “Intangible Property”). (e) all china, glassware and silverware, linens, uniforms, engineering, maintenance, cleaning and housekeeping supplies, matches and ashtrays, soap and other toiletries, stationery, menus, directories and other printed materials, and all other similar supplies and materials, which are located at the Hotels as of the Closing (the “Supplies”);
(f) all computer hardware, telecommunications and information technology systems located at the Hotels, and all computer software used at the Hotels (subject to the terms of the applicable license agreement), to the extent the same are transferable or the Parties obtain any consent necessary to effectuate such a transfer, but expressly excluding the Excluded Property as defined below (the “IT Systems”);
(g) any food and beverages (alcoholic and non-alcoholic) which are located at the Hotels (whether opened or unopened), including, without limitation, all food and beverages located in the guest rooms, but expressly excluding any alcoholic beverages to the extent the sale or transfer of the same is not permitted under applicable law (the “F&B”);
(h) all merchandise located at the Hotels and held for sale to guests and customers of the Hotels, including, without limitation, the inventory held for sale in any gift shop, pro shop or newsstand operated by Seller or any Affiliate of Seller at the Hotels, but expressly excluding the F&B (the “Retail Merchandise”);
(i) all intangible personal property owned by used exclusively in the ownership, use, operation or maintenance of the Real Property and Improvements (the “Business”), including without limitation (but specifically excluding the Excluded Property (as defined below)), the following (collectively, the “Intangible Property”):
i. Seller’s assignable interest in all permits, licenses, governmental approvals and other entitlements relating to the Real Property and Improvements,
ii. Seller’s assignable interest in all plans, specifications and drawings relating to the Real Property and Improvements,
iii. Seller’s rights as landlord under any leases or occupancy agreements in effect as of the Closing (the “Leases”) (except for any past due rents or other past due monetary obligations under the Leases),
iv. Seller’s assignable interest in all service, maintenance, supply, and other agreements relating to the ownership and operation of the Property (but only to the extent related to such Property) and identified on Schedule 1 to Exhibit C, attached hereto, together with all modifications and amendments thereof and supplements relating thereto and additional agreements, provided any such modifications, amendments, supplements or additional agreements are all made in a manner fully consistent with the terms of this Agreement (the “Contracts”),
v. all property records (excluding historical accounting records),
vi. substantive correspondence and other documents related to any right to occupy any of the Improvements (excluding data in digital or computer files and any computer software or hardware),
vii. a right to all security deposits under the Leases and any and all guaranties of the Leases (subject to applicable laws and the terms of the applicable Leases respecting said security deposits),
viii. all assignable warranty and guaranty rights (provided that Seller and used will not be obligated to incur any cost or expense in connection with the assignment of such rights), and
ix. all rights under utility contracts or other agreements, each as they relate to the ownership, use or operation of the Real Property and/or ImprovementsProperty, including, without limitation, the right to use any trade name now used in connection with the Real Property (the "Personal Property") and any contract or lease rights, agreements, utility contracts or other rights relating to the ownership, use and operation of the Real Propertyas defined below.

(d) all tangible or intangible personal property owned by Seller and used exclusively in the ownership, use or operation of the Real Property and/or Improvements, including, without limitation, the right to use any trade name now used in connection with the Real Property (the "“Personal Property"”) and, to the extent transferable and assignable, any contract or lease rights, agreements, utility contracts or other rights relating to the ownership, use and operation of the Real Property but expressly excluding any such property and rights owned or held by tenants of the Property.; and
(e) all of Seller's ’s interest as lessor in all leases covering the Real Property and ImprovementsImprovements (collectively, together with all amendments, modifications and supplements thereto, the “Leases”), including all tenant security and other deposits and interest earned thereon and prepaid rent and interest earned thereon. Interest on deposits and prepaid rents shall only be transferred to Buyer if applicable state law or the applicable lease requires that such funds be held in interest-bearing accounts. (c) all improvements and fixtures located on the Real PropertyLand and appurtenances, including all buildings including, without limitation, that certain office building and structures presently related improvements located on the Real Property listed on Schedule A, as more particularly described in Exhibit A, attached heretoLand, and all related facilities, amenities, all apparatus, and equipment and appliances used in connection with the operation or occupancy of the Real PropertyLand and appurtenances, such as heating and air conditioning systems and facilities used to provide any utility servicesutility, refrigeration, ventilation, garbage disposal, recreation disposal or other services on the Real Property Land and appurtenances, and along with all on-site parking facilities (all of which are collectively referred to as collectively, the "Improvements", and together with the Land and Appurtenances, the "Real Property");
