Proposed Amendment Consents. (a) On and as of the Amendment No. 3 Effective Date (i) the Consenting Term B Lenders party hereto, constituting the Majority Lenders of the Existing Amendment No. 1 Incremental Term B Lenders immediately prior to giving effect to the transactions in clause (b) below and (ii) all of the Amendment No. 1 Incremental Term B Lenders (immediately after giving effect to the transactions in Section 4 below), hereby consent to the Proposed Amendments, as set forth in the Credit Agreement attached as Exhibit A hereto.
