Prospect Terms and Conditions. Each party shall have the sole and ----------------------------- absolute discretion respecting the terms and conditions for such party's agreement for the sale of services to Prospects. Nothing in this Agreement shall be construed to be a binding commitment on the part of either party to sell services to Prospects. Each party shall be solely responsible for the performance of any agreements it enters into with any Prospects. Neither party shall have (or represent to any Prospects that it has) the authority to act as agent for the other, enter into contracts for, or otherwise commit the other party to, the delivery of services to any Prospect. Each party shall use its best efforts to preserve the goodwill and business reputation of the other party in connection with the cooperative marketing of services contemplated hereby.
