Provider’s Representation. Provider represents that it is a limited liability company duly organized under the laws of its state of organization. Provider has full power and authority to execute and deliver this Agreement and to consummate the transactions contemplated hereby and to perform its obligations hereunder. The execution and delivery of this Agreement and the consummation of the transactions contemplated hereby have been duly authorized by all requisite company action on the part of Provider, and constitutes the legal, valid, and binding obligation of Provider, enforceable in accordance with its terms.
