Common use of Province’s Indemnity Clause in Contracts

Province’s Indemnity. Subject to Section 16.3, the Province shall indemnify and hold harmless the Contractor and its officials, directors, officers and employees against all damages, losses and costs, including third party claims (and including the reasonable cost of defending third party claims, on a solicitor and client basis), arising from the Province’s breach of any provision of this Agreement or arising from the negligence or other tortious conduct of the Province or any official, employee or agent of the Province in relation to the subject matter of this Agreement.
