Common use of PROXY AGENT SERVICES Clause in Contracts

PROXY AGENT SERVICES. The Transfer Agent agrees to act as Proxy Agent in connection with the holding of annual or special meetings of Shareholders, mailing to Shareholders notice, proxies and proxy statements in connection with the holding of such meetings, receiving and tabulating votes cast by proxy and communicating to the Fund the results of such tabulation accompanied by appropriate certificates, and preparing and communicating to the Fund certified lists of Shareholders as of such date, and in such form and containing such information as may be required by the Fund to comply with any applicable provisions relating to such meetings. The Transfer Agent may at its expense employ another firm to provide all or a portion of such services.
