PTC Agreement. PMAC shall have satisfied all obligations under the Asset Purchase Agreement among PMAC and Parametric Technology Corporation with an effective date of March 1, 1999, and the Development and Distribution License To ICEM Software agreement ("PTC Agreements") and shall have received written confirmation from PTC that PTC has transferred ownership of "ICEM CFD" (as that term is defined in the PTC Agreements) to PMAC pursuant to PTC Agreements.
