Common use of Public Notices Clause in Contracts

Public Notices. All public notices to third Persons and all other publicity concerning the transactions contemplated by this Agreement shall be jointly planned and co-ordinated by the Corporation, on the one hand, and the Purchaser, on the other hand, and no Party shall act unilaterally in this regard without the prior approval of the other Party, such approval not to be unreasonably withheld, except where required to do so by Law or any stock exchange in circumstances where prior consultation with the other Parties is not practicable.

Public Notices. All public notices to third Persons parties and all other publicity concerning the transactions contemplated by this Agreement shall be jointly planned and co-ordinated by the Corporation, on the one hand, Corporation and the Purchaser, on the other hand, GM and no Party shall act unilaterally in this regard without the prior approval of the other PartyParties, such approval not to be unreasonably withheld, except where unless such disclosure shall be required to do so by Law or meet timely disclosure obligations of any Party under applicable securities laws and stock exchange rules in circumstances where prior to consultation with the other Parties is not practicable.

The transactions contemplated by this Agreement are confidential and the Corporations agree not to disclose same to any third party other than its professional advisers, except where required to do so by Law or any stock exchange in circumstances where prior consultation with the other Parties is not practicableprior approval of the Lender.

All public notices to third Persons parties and all other publicity announcements concerning the transactions matters contemplated by this Agreement shall be jointly planned and co-ordinated coordinated by the Corporation, on Company and the one handInvestor, and neither the Purchaser, on Company nor the other hand, and no Party Investor shall act unilaterally in this regard without the prior written approval of the other Party, except to the extent that the Party making such approval not to be unreasonably withheld, except where notice is required to do so by Law or any stock exchange in circumstances where prior consultation with the other Parties Party is not practicable, provided concurrent notice to the other Party is provided.
