Common use of Public Notices Clause in Contracts

Public Notices. All public notices to third parties and all other publicity concerning the matters contemplated by this Agreement shall be jointly planned and co-ordinated by the Parties and no Party shall act unilaterally in this regard without the prior approval of the other Parties, except where the Party making such notice is required to do so by law or by the applicable regulations or policies of any regulatory agency of competent jurisdiction or any stock exchange, provided that such Party will use reasonable efforts to notify the other Party in advance of such disclosure so as to permit the other Parties to seek a protective order or otherwise contest such disclosure.

Public Notices. All public notices to third parties and all other publicity concerning the matters transactions contemplated by this Agreement shall be jointly planned and co-ordinated by the Parties and no neither Party shall act unilaterally in this regard without the prior approval of the other PartiesParty, except where the Party making such notice is approval not to be unreasonably withheld, unless such disclosure shall be required to do so by law or by the applicable regulations or policies meet timely disclosure obligations of any regulatory agency of competent jurisdiction or any Party under applicable securities laws and stock exchange, provided that such Party will use reasonable efforts to notify exchange rules in circumstances where prior consultation with the other Party in advance of such disclosure so as to permit the other Parties to seek a protective order or otherwise contest such disclosureis not practicable.
