PUBLIC UTILITIES COMMISSIONS. Notwithstanding any other provisions in this Agreement, no changes in the Agreement, including changes in Attachments and changes in rates and charges, shall be implemented without the prior approval of the Public Utilities Commission of Ohio and the Public Service Commission of Kentucky, if necessary.

If Tenant fails to take possession of the Premises or if this Lease otherwise terminates prior to the Expiration Date as the result of failure of performance by Tenant, Landlord shall be entitled to recover from Tenant the unamortized portion of any brokerage commission funded by Landlord in addition to any other damages to which Landlord may be entitled.
