Purchase and Sale of the Shares the Closing. 1.1 Purchase and Sale Upon the terms and subject to the conditions hereof, at the closing referred to in Section 1.3 hereof and taking place simultaneously herewith (the "Closing"), the Seller is selling, assigning, transferring and delivering to the Buyer, and the Buyer is accepting and purchasing from the Seller, free and clear of all Encumbrances (as defined in Section 2.5(b) hereof), the Shares.
