PURCHASE AUTHORIZATION PROCEDURES. Retailers shall obtain authorizations for all Private Label Retailer Purchases, Co-brand Retailer Purchases and Cross-Shopping Purchases in accordance with the Operating Procedures. Without otherwise limiting the foregoing, Bank and Retailers acknowledge and agree that so long as Visa USA, Inc. is the Network for the Program (or until such time as the parties and the Network otherwise agree), authorizations for Co-brand Retailer Purchases and Cross-Shopping Purchases involving Co-brand Credit Cards shall be routed through the Network’s “Visa Net” system to Bank and back through such system to Retailers, but such authorizations shall not be routed through Network interchange. A diagram setting forth the foregoing is set forth in Schedule 4.03. Each of Bank and Retailers shall take such actions and do such things as are necessary or desirable to implement such authorization system, including system connectivity and coding changes. As of the Effective Date, the foregoing authorization structure shall be applied to the entities participating in the Program pursuant to Section 13.02, other than Gap Canada (the transaction data for which, until subsequently agreed to by the parties, shall be processed through the Network). For each entity participating in the Program pursuant to Section 13.02 after the Effective Date, it is the intention of the parties that the Visa Net authorization structure shall apply, subject to (i) the provisions of clauses (x) and (y) of Section 13.02 and (ii) Retailers’ rights set forth in Sections 2.06 and 2.07.

PURCHASE AUTHORIZATION PROCEDURES. Each Company agrees as follows with respect to each Purchase by an Account Holder: a. It must complete an Invoice. The Account number must be printed or written on the Invoice. b. It must have the CommerciaLine Customer sign the Invoice, once all other purchase information is filled in as requested. c. It must obtain authorization through the existing POS Network for all Purchases and record the authorization code on the Invoice. For authorizations during any time that the POS Network is not in operation, the Companies must call MWCC (or its affiliate, if an affiliate is appointed to administer the processing Program) for an authorization code.

  • Information Release Authorization Throughout the Term, you authorize Homefield Energy to obtain information from the DSP that includes, but is not limited to, your account name, account number, billing address, service address, telephone number, standard offer service type, meter readings, and, when charges hereunder are included on your DSP bill, your billing and payment information. You authorize Homefield Energy to release such information to third parties, including affiliates that need to know such information in connection with your Retail Power service. These authorizations will remain in effect as long as this Agreement is in effect.

  • Power; Due Authorization; Binding Agreement The Stockholder has all requisite legal capacity, power and authority to execute and deliver this Agreement, to perform his obligations under this Agreement, and to consummate the transactions contemplated by this Agreement.   • Due Authorization; Binding Agreement Such Bondholder has full right, power and authority to execute and deliver this Agreement and to consummate the transactions contemplated hereby. This Agreement has been duly and validly authorized, executed and delivered by such Bondholder and (assuming due authorization, execution and delivery by the Company) constitutes the valid and binding obligation of such Bondholder enforceable against such Bondholder in accordance with its terms, subject to the effects of bankruptcy, insolvency, fraudulent conveyance, reorganization, moratorium and other similar laws relating to or affecting creditors’ rights generally, and general equitable principles (whether considered in a proceeding in equity or at law).

  • Power and Authority; Authorization; Execution and Delivery; Binding Obligation The Purchaser has the power and authority to execute, deliver and perform its obligations under this Agreement. Certain capitalized and other terms used in this Agreement are defined in Schedule B; and references to a “Schedule” or an “Exhibit” are, unless otherwise specified, to a Schedule or an Exhibit attached to this Agreement.

  • Card Information Updates and Authorizations If you have authorized a merchant to xxxx charges to your card on a recurring basis, it is your responsibility to notify the merchant in the event your card is replaced, your card information (such as card number and expiration date) changes, or the account associated with your card is closed. However, if your card is replaced or card information changes, you authorize us, without obligation on our part, to provide the updated card information to the merchant in order to permit the merchant to xxxx recurring charges to the card. You authorize us to apply such recurring charges to the card until you notify us that you have revoked authorization for the charges to your card.

  • Authorization of the Indenture The Indenture has been duly authorized by the Company and duly qualified under the 1939 Act and, when duly executed and delivered by the Company and the Trustee, will constitute a valid and binding agreement of the Company, enforceable against the Company in accordance with its terms, except as the enforcement thereof may be limited by bankruptcy, insolvency (including, without limitation, all laws relating to fraudulent transfers), reorganization, moratorium or similar laws affecting enforcement of creditors’ rights generally and except as enforcement thereof is subject to general principles of equity (regardless of whether enforcement is considered in a proceeding in equity or at law).

This Agreement has been, and each Ancillary Document to which the Company is or is required to be a party shall be when delivered, duly and validly executed and delivered by the Company and assuming the due authorization, execution and delivery of this Agreement and any such Ancillary Document by the other parties hereto and thereto, constitutes, or when delivered shall constitute, the legal, valid and binding obligation of the Company, enforceable against the Company in accordance with its terms, subject to the Enforceability Exceptions. The Company’s board of directors, by resolutions duly adopted at a meeting duly called and held (i) determined that this Agreement and the Merger and the other transactions contemplated hereby are advisable, fair to, and in the best interests of, the Company, its Subsidiaries and its stockholders, (ii) approved this Agreement and the Merger and the other transactions contemplated by this Agreement in accordance with the DGCL, (iii) directed that this Agreement be submitted to the Company’s stockholders for adoption and (iv) resolved to recommend that the Company stockholders adopt this Agreement.
