INSERTS; STATEMENT MESSAGES. (a) Retailers, acting collectively, may elect to provide to Bank (at the address so stated by Bank and using Bank's insert requirements as outlined in the Operating Procedures) up to eight (8) inserts per Active Account billing statement (if such a billing statement is generated by Bank) per month. Retailers are responsible for the proper delivery, size and weight requirements of inserts and for the supply of insert stock, all as specified in the Operating Procedures. In the event the inserts cause the postage payable to exceed the postage otherwise payable by Bank, then Retailers shall reimburse Bank for such excess postage cost. Should it be necessary for Bank to change such requirements, then it shall give Retailers written notice at least ninety (90) days prior to such change. Retailers will be solely responsible for the costs of producing such inserts. The insertion service by Bank will be at no cost to Retailers (up to a maximum of eight (8) inserts, per billing statement per month) as long as all insert requirements set forth in the Operating Procedures have been met by Retailers. Notwithstanding the foregoing, any insert required by law or regulation shall take precedence over any or all inserts provided by Retailers. Bank's insertion service will not be available after the termination or expiration of the Commitment Period. (b) Subject to any statement message utilization requirements that Bank deems advisable or appropriate, during the Commitment Period Bank shall make available to Retailers, acting collectively, a space for a message to be provided by Retailers on each billing statement for an Active Account sent to a Cardholder during such month. If more than one space is available for a message on each such billing statement, then during the Commitment Period Bank agrees to grant Retailers the option of utilizing such additional space for additional messages. Any such messages shall be included at no charge to Retailers. Bank agrees to use reasonable efforts to advise Retailers if billing statement messages will not be available to Retailers during any Billing Period.

INSERTS; STATEMENT MESSAGES. (a) Retailers, acting collectively, may elect to provide to Bank (at the address so stated by Bank and using Bank’s insert requirements as outlined in the specifications provided to Retailers from time to time) up to [***] inserts per billing statement generated by Bank in respect of each Private Label Account and up to [***] inserts per billing statement generated by Bank in respect of each Co-brand Account (all such Retailer-provided inserts, “Retailer Inserts”). Retailers are solely responsible for the costs of producing such Retailer Inserts, subject to payment or reimbursement from the Marketing Fund to the extent agreed to in accordance with Section 2.05(b). Bank shall have prior approval for any Retailer Inserts [***]. Unless otherwise agreed to by the parties, Bank and Retailers shall use one (1) of the [***] inserts for each Co-brand Account billing statement to market strategies designed to promote the use of Co-brand Credit Cards for Co-brand Non-Retailer Purchases (each such insert shall be subject to the mutual agreement of both parties and the cost of such inserts shall be applied against the Marketing Fund). Retailers are responsible for the proper delivery, size and weight requirements of all Retailer Inserts and for the supply of the related insert stock, all in accordance with Bank’s specifications. The insertion service by Bank will be at no cost to Retailers as long as all insert requirements set forth in the specifications have been met by Retailers provided, however, that if the Retailer Inserts cause the postage payable to exceed the postage otherwise payable by Bank, then Retailers shall reimburse Bank for such excess postage cost. At Retailers’ request, and subject to Bank’s ability to comply in accordance with its standard segmentation capabilities, Bank shall distinguish among customer groups and distribute Retailer Inserts accordingly. Notwithstanding the foregoing, any insert required by Applicable Law shall take precedence over any or all Retailer Inserts.   • Accuracy of Orders; Customer Signatures You shall be responsible for the accuracy, timeliness and completeness of any orders transmitted by you on behalf of your customers by any means, including wire or telephone. In addition, you agree to guarantee the signatures of your customers when such guarantee is required by the Company and you agree to indemnify and hold harmless all persons, including us and the Funds’ transfer agent, from and against any and all loss, cost, damage or expense suffered or incurred in reliance upon such signature guarantee.

  • Updates to Schedules Should any of the information or disclosures provided on any of the Schedules attached hereto become outdated or incorrect in any material respect, the Borrower shall promptly provide the Agent in writing with such revisions or updates to such Schedule as may be necessary or appropriate to update or correct same; provided, however, that no Schedule shall be deemed to have been amended, modified or superseded by any such correction or update, nor shall any breach of warranty or representation resulting from the inaccuracy or incompleteness of any such Schedule be deemed to have been cured thereby, unless and until the Required Banks, in their sole and absolute discretion, shall have accepted in writing such revisions or updates to such Schedule.

  • Changes to Specifications All Specifications and any changes thereto agreed to by the parties from time to time shall be in writing, dated and signed by the parties. Any change to the Process shall be deemed a Specification change. No change in the Specifications shall be implemented by Catalent, whether requested by Client or requested or required by any Regulatory Authority, until the parties have agreed in writing to such change, the implementation date of such change, and any increase or decrease in costs, expenses or fees associated with such change (including any change to Unit Pricing). Catalent shall respond promptly to any request made by Client for a change in the Specifications, and both parties shall use commercially reasonable, good faith efforts to agree to the terms of such change in a timely manner. As soon as possible after a request is made for any change in Specifications, Catalent shall notify Client of the costs associated with such change and shall provide such supporting documentation as Client may reasonably require. Client shall pay all costs associated with such agreed upon changes. If there is a conflict between the terms of this Agreement and the terms of the Specifications, this Agreement shall control. Catalent reserves the right to postpone effecting changes to the Specifications until such time as the parties agree to and execute the required written amendment.

  • Company to Provide Copy of the Prospectus in Form That May be Downloaded from the Internet If requested by the Representatives, the Company shall cause to be prepared and delivered, at its expense, within one business day from the effective date of this Agreement, to the Representatives an “electronic Prospectus” to be used by the Underwriters in connection with the offering and sale of the Offered Shares. As used herein, the term “electronic Prospectus” means a form of Time of Sale Prospectus, and any amendment or supplement thereto, that meets each of the following conditions: (i) it shall be encoded in an electronic format, satisfactory to the Representatives, that may be transmitted electronically by the Representatives and the other Underwriters to offerees and purchasers of the Offered Shares; (ii) it shall disclose the same information as the paper Time of Sale Prospectus, except to the extent that graphic and image material cannot be disseminated electronically, in which case such graphic and image material shall be replaced in the electronic Prospectus with a fair and accurate narrative description or tabular representation of such material, as appropriate; and (iii) it shall be in or convertible into a paper format or an electronic format, satisfactory to the Representatives, that will allow investors to store and have continuously ready access to the Time of Sale Prospectus at any future time, without charge to investors (other than any fee charged for subscription to the Internet as a whole and for on-line time). The Company hereby confirms that it has included or will include in the Prospectus filed pursuant to XXXXX or otherwise with the Commission and in the Registration Statement at the time it was declared effective an undertaking that, upon receipt of a request by an investor or his or her representative, the Company shall transmit or cause to be transmitted promptly, without charge, a paper copy of the Time of Sale Prospectus.

  • Delivery Schedule The scheduled months of delivery of the Aircraft are listed in the attached Table 1. Exhibit B describes certain responsibilities for both Customer and Boeing in order to accomplish the delivery of the Aircraft.

  • PROCEDURES SPECIFIC TO CUSTOM BASKETS The Fund has developed custom creation, redemption and other non-typical baskets (the “Custom Baskets”). Custom Baskets are intended to allow the Participant to transact in a Fund and other non-standard baskets using the Custom Basket process. The Custom Basket process allows for cash-in-lieu for certain securities as well as non-typical baskets and continues to settle through the standard CNS process at NSCC. It is the responsibility of the Participant to apply to the NSCC by contacting DTCC Participant Services at 000-000-0000 and the Transfer Agent at 000-000-0000 to allow them to receive Custom Baskets as well as the regular daily standard baskets (the “Standard Baskets”). To ensure proper tracking of a Fund to its benchmark index the following guidelines must be followed when transacting Custom Baskets:

  • Telephone and Telefax Authorization (a) The Bank may honor telephone or telefax instructions for advances or repayments or for the designation of optional interest rates and telefax requests for the issuance of letters of credit given, or purported to be given, by any one of the individuals authorized to sign loan agreements on behalf of the Borrower, or any other individual designated by any one of such authorized signers.

  • Notice of Complaints Each Purchaser shall promptly notify the applicable Seller upon becoming aware of any complaint concerning any Serviced Appointment made by any party to the Serviced Corporate Trust Contract, any Securityholder, any Credit Enhancement Provider or any rating agency.

  • Update of Schedules Schedules 7.05(b) (in respect of the lists of Patents, Copyrights and Trademarks under Section 7.05(b)(i) only), 7.05(c), 7.06, and 7.16, may be updated by Borrower prior to each Borrowing Date to insure the continued accuracy of such Schedule as of such Borrowing Date, by Borrower providing to the Lenders, in writing (including via electronic means), a revised version of such Schedule in accordance with the provisions of Section 12.02. Each such updated Schedule shall be effective immediately upon the receipt thereof by the Lenders.
