Purchased IP. “Purchased IP” shall mean the Intellectual Property and Intellectual Property Rights identified in Schedule 1.1(e) and the related goodwill of the Seller.
Purchased IP. “Purchased IP” shall mean (i) all Intellectual Property and Intellectual Property Rights in or pertaining to the Products, or methods or processes used to manufacture the Products, or otherwise relating to or necessary or reasonably useful for the conduct of the Business, in each case that is Controlled by the Seller and (ii) all right, title and interest of the Seller in the Licensed Intellectual Property.

Purchased IP. “Purchased IP” shall mean the CNS Intellectual Property that is primarily used in, and/or primarily relates to, the operations of the CNS Division, including without limitation the Unique Customer Software (as defined in the Customer Matters Agreement) and the Intellectual Property embodied therein.
Purchased IP. Schedule 4.12 lists all Intellectual Property included in the Purchased Assets (“Purchased IP”). Seller owns or has adequate, valid and enforceable rights to use all the Purchased IP, free and clear of all Liens (other than Permitted Liens).
Purchased IP. Subject to the terms and conditions hereof, each of the Sellers hereby sells, assigns, transfers and conveys to Purchaser any and all right, title and interest that he/she/they currently has or subsequently develops in the Intellectual Property Rights relating to the operation and further development of the Purchased IP, free and clear of all Encumbrances whatsoever including but not limited to: (i) any and all Software contributed to or developed with respect to Mint My Piece and the operation thereof, (ii) all Trade Secrets and copyrights related to Mint My Piece and the operation thereof, and all trademarks, trade names and trade logos (and all goodwill appurtenant thereto) related to Mint My Piece and the operation thereof, (iii) all domain names and websites related to Mint My Piece, (iv) all development tools, technology and licenses related to Mint My Piece and the operation thereof in all formats, and
