Purchaser’s non compliance. The purchaser indemnifies and will keep the vendor indemnified, from and against all damage, loss, cost or liability incurred or suffered by the vendor and caused or contributed to by the purchaser’s failure to comply with this contract.

Purchaser’s non compliance. If the Purchaser fails to comply with any material obligation under this Section 13, and such failure has materially compromised the Seller in its ability to mitigate the underlying Tax, then, to the extent Taxes relating to the Pre­ Effective Date Tax Period are imposed on the Seller due to the fiscal unity between the Company and the Seller, the Purchaser shall indemnify and hold harmless the Seller from and against all and any direct or indirect Taxes of the Seller in connection therewith, unless such non-compliance or denial has neither caused nor increased such Taxes. Any amount payable pursuant to this Section 13.2.4 shall be due and payable within five (5) Business Days after receipt by the Purchaser of a respective payment notice by the Seller. The respective limitations and/or qualifications under Section 13.1.1, as well as caps or floors applying to Taxes, if any, shall apply mutatis mutandis.

The costs and expenses of any such inspections shall be paid by the party requesting same, unless a Default or Breach of this Lease, violation of Applicable Law, or a contamination, caused or materially contributed to by Lessee is found to exist or be imminent, or unless the inspection is requested or ordered by a governmental authority as the result of any such existing or imminent violation or contamination. In any such case, Lessee shall upon request reimburse Lessor or Lessor's Lender, as the case may be, for the costs and expenses of such inspections.

  • Subscriber’s Compliance Nothing in this Section 4 shall affect in any way Subscriber’s obligations and agreements to comply with all applicable securities laws upon resale of the Securities.

  • Sanctions for Non-compliance In the event of the CONSULTANT’s non-compliance with the non-discrimination provisions of this AGREEMENT, the AGENCY shall impose such AGREEMENT sanctions as it, the STATE or the FHWA may determine to be appropriate, including, but not limited to: • Withholding of payments to the CONSULTANT under the AGREEMENT until the CONSULTANT complies, and/or; • Cancellation, termination, or suspension of the AGREEMENT, in whole or in part.

  • OSHA Compliance To the extent applicable to the services to be performed under this Agreement, Contractor represents and warrants, that all articles and services furnished under this Agreement meet or exceed the safety standards established and promulgated under the Federal Occupational Safety and Health Law (Public Law 91-596) and its regulations in effect or proposed as of the date of this Agreement.

  • CEQA Compliance The District has complied with all assessment requirements imposed upon it by the California Environmental Quality Act (Public Resource Code Section 21000 et seq. (“CEQA”) in connection with the Project, and no further environmental review of the Project is necessary pursuant to CEQA before the construction of the Project may commence.
