Purchases by Pharmion. Pharmion and Pharmion Designees shall exclusively purchase its requirements of the Compound for the Territory from Ash Sxxxxxx from the Effective Date until the Initial Term Expiration Date (the “Exclusivity Period”). After the Exclusivity Period and during any Automatic Extension Period, Pharmion and Pharmion Designees in their sole discretion may either (i) purchase from Ash Sxxxxxx all of its requirements of Compound for the Territory, or (ii) purchase a portion, or none of, its requirements of Compound for the Territory. Notwithstanding the foregoing, the Exclusivity Period shall terminate in the event that a Supply Shortage (as defined in Section 2(c) below) has occurred and Ash Sxxxxxx has failed to remedy the Supply Shortage as provided in Section 4(e) of this Agreement.

  • Procurement of Goods and Works Except as ADB may otherwise agree, Goods and Works shall only be procured on the basis of the methods of procurement set forth below:

  • Order to Stop Work The Chief Procurement Officer, may, by written order to Contractor at any time, and without notice to any surety, require Contractor to stop all or any part of the work called for by this contract. This order shall be for a specified period not exceeding 90 days after the order is delivered to Contractor, unless the parties agree to any further period. Any such order shall be identified specifically as a stop work order issued pursuant to this clause. Upon receipt of such an order, Contractor shall forthwith comply with its terms and take all reasonable steps to minimize the occurrence of costs allocable to the work covered by the order during the period of work stoppage. Before the stop work order expires, or within any further period to which the parties shall have agreed, the Chief Procurement Officer shall either: i. cancel the stop work order; or, ii. terminate the work covered by such order as provided in the Termination for Default clause or the Termination for Convenience clause of this contract.

  • DISTRIBUTION OF CONTRACTOR PRICE LIST AND CONTRACT APPENDICES Contractor shall provide Authorized Users with electronic copies of the Contract, including price lists and Appendices, upon request. Contract Updates will be handled as provided in Appendix C – Contract Modification Procedures.

  • Price Adjustments for OGS Centralized Contracts Periodic price adjustments will occur no more than twice per year on a schedule to be established solely by OGS. Pricing offered shall be fixed for the first twelve (12) months of the Contract term. Such price increases will only apply to the OGS Centralized Contracts and shall not be applied retroactively to Authorized User Agreements or any Mini-bids already submitted to an Authorized User. Price decreases may be made at any time. Additionally, some price decreases shall be calculated in accordance with Appendix B, section 17, Pricing.

  • Additional Promises by Individuals If you are a natural person (not an entity), you also promise that: 5.22.1. U.S. Citizen or Resident You are a citizen or permanent resident (green card) of the United States. 5.22.2. Financial Wherewithal You can afford this investment, even if you lose your money. You don’t rely on this money for your current needs, like rent or utilities. 5.22.3. Anti-Terrorism and Money Laundering Laws None of the money used to purchase the Note was derived from or related to any activity that is illegal under United States law, and you are not on any list of “Specially Designated Nationals” or known or suspected terrorists that has been generated by the Office of Foreign Assets Control of the United States Department of Treasury (“OFAC”), nor are you a citizen or resident of any country that is subject to embargo or trade sanctions enforced by OFAC.
