Common use of Put Share Amount Clause in Contracts

Put Share Amount. The "Put Share Amount" is the number of shares of Common Stock that the Investor shall be obligated to purchase in a given Put, and shall equal the lesser of (i) the Intended Put Share Amount, (ii) the Individual Put Limit, or that number of shares that could be purchased without exceeding the Maximum Offering Amount, the 9.9% limitation, or the Cap Amount, if applicable. The "Individual Put Limit" shall equal 15% of the sum of the aggregate daily reported Trading Volumes in the outstanding Common Stock on the Company's Principal Market, excluding any block trades of 20,000 or more shares of Common Stock, for all Evaluation Days (as defined below) in the Pricing Period. Company agrees not to trade Common Stock or arrange for Common Stock to be traded for the purpose of artificially increasing the Individual Put Limit. For purposes of this Agreement:
