The Administrator shall have full authority and discretion in establishing the exercise price and shall be fully protected in so doing.

The exercise price per share shall be equal to one hundred percent (100%) of the per share Fair Market Value of the Common Stock on the date of grant of the Nonqualified Stock Option, or such higher price as the Administrator determines.
