Qualifications in Other Jurisdictions. If required by law, the Company shall promptly qualify or register to transact business in all jurisdictions in which it transacts business as a foreign limited liability company.
Qualifications in Other Jurisdictions. The Company’s officers shall cause the Company to be qualified, formed or registered under assumed or fictitious name or similar Laws in any jurisdiction in which the Company transacts business. The Company’s officers shall execute, deliver and file any certificates (and any amendments and/or restatements thereof) necessary or appropriate for the Company to qualify and continue to do business in a jurisdiction in which the Company may wish to conduct business. At the request of the Management Board, each Member shall execute, acknowledge, swear to and deliver all certificates and other instruments conforming with this Agreement that are necessary or appropriate to qualify, continue and terminate the Company as a foreign limited liability company in all such jurisdictions in which the Company may conduct business, provided that no Member shall be required to file any general consent to service of process or to qualify as a foreign corporation, limited liability company, partnership or other entity in any jurisdiction in which it is not already so qualified.
Qualifications in Other Jurisdictions. The Member shall execute, deliver and file any other certificates (and any amendments and/or restatements thereof) necessary for the Company to qualify to do business in any other jurisdiction in which the Company may wish to conduct business.
Qualifications in Other Jurisdictions. The Member shall cause the Company to be qualified or registered, whether under an assumed or fictitious name, in any jurisdiction in which the Company owns property or transacts business or to permit the Company lawfully to own property or transact business. The Member, any person authorized by the Member, or any Officer of the Company, shall execute, file and publish all such certificates, notices, statements or other instruments (and any amendments, changes and/or restatements thereof) necessary or desirable to permit the Company to conduct business in all jurisdictions where the Company elects to do business.
Qualifications in Other Jurisdictions. The Company shall file a timely qualification in Texas to transact business as a foreign limited liability company and any other qualifications or registrations required by law in any other jurisdiction, if any, in which the Company transacts business.
Qualifications in Other Jurisdictions. To the extent required by law, the Partnership shall promptly qualify or register to transact business in all jurisdictions other than Delaware in which it transacts business.
Qualifications in Other Jurisdictions. The Board of Managers shall cause the Company to be qualified or registered in any jurisdiction in which the Company transacts business whenever the same may be so required under the laws of such jurisdiction.
Qualifications in Other Jurisdictions. The Company shall be qualified or registered to do business in Michigan and in such jurisdictions, if any, in which the Company transacts business and in which such qualification or registration is required by law or deemed advisable by the Company. The Secretary of the Company, as an authorized person within the meaning of the Delaware Act, shall execute, deliver and file any certificates (and any amendments and/or restatements thereof) necessary for the Company to qualify to do business in any such jurisdiction.
Qualifications in Other Jurisdictions. The Program Representatives shall cause the Company to be qualified or registered if and to the extent required under applicable laws of any jurisdiction in which the Company transacts business and shall be authorized to execute, deliver and file or cause the execution, delivery and filing of any certificates and documents necessary to effect such qualification or registration including the appointment of agents for service of process in such jurisdictions.
Qualifications in Other Jurisdictions. The Company shall be qualified or registered to do business in Maryland and in such other jurisdictions, if any, in which the Company transacts business and in which such qualification or registration is required by law or deemed advisable by the Company. The Secretary of the Company, as an authorized person within the meaning of the Delaware Act, shall execute, deliver and file any certificates (and any amendments and/or restatements thereof) necessary for the Company to qualify to do business in any such jurisdiction.
