Common use of Qualified Operator Clause in Contracts

Qualified Operator. Seller or an Affiliate of Seller shall operate and maintain the Facility or cause the Facility to be operated and maintained by an entity that has at least two (2) years of experience in the operation and maintenance of similar facilities of comparable size and characteristics to the Facility. Seller must provide PacifiCorp thirty (30) days prior notice of any change in the operator of the Facility.

Qualified Operator. Seller or an Affiliate of Seller shall must operate and maintain the Facility or cause the Facility to be operated and maintained by an entity (i) that has at least two (2) years of experience in the operation and maintenance of similar facilities of comparable size and characteristics to the Facility; or (ii) that Seller demonstrates is otherwise qualified to operate the Facility in a manner consistent with Prudent Electrical Practices and has the financial resources and qualified personnel necessary to fulfill obligations under this Agreement. Seller must provide PacifiCorp thirty (30) days prior written notice of any change in the operator of the Facility.
