Common use of Qualified Small Business Clause in Contracts

Qualified Small Business. The Company qualifies as a "Qualified Small Business" as defined in Section 1202(d) of the Code and covenants that so long as its shares are held by the Purchasers (or a transferee in whose hands the shares are eligible to qualify as Qualified Small Business Stock as defined in Section 1202(c) of the Code), it will use its best efforts to cause the shares to qualify as Qualified Small Business Stock.

Qualified Small Business. The Company represents and warrants to the Purchasers that it qualifies as a "Qualified Small Business" as defined in Section 1202(d) of the Internal Revenue Code and of 1986, as amended (the "CODE"). The Company covenants that so long as its shares are it reasonably believes that the Shares (and/or Conversion Shares) held by the Purchasers (Purchaser or a transferee in whose hands the shares are eligible to would qualify as Qualified Small Business Stock as defined in Section 1202(c) of the Code), Code it will use its best efforts to cause timely file all reports or filings with the shares to qualify as Internal Revenue Service required of a Qualified Small Business StockBusiness.

Qualified Small Business. The Company qualifies as a "Qualified Small Business" as defined in Section 1202(d1202(c) of the Internal Revenue Code of 1986, as amended (the "Code") and covenants that that, so long as its shares any of the Shares of Underlying Common Stock are held by the Purchasers (or a transferee Purchaser in whose hands the shares of Underlying Common Stock are eligible to qualify as Qualified Small Business Stock as defined in Section 1202(c) of the Code), it will use its best efforts to cause the shares of Underlying Common Stock to qualify as Qualified Small Business Stock.

Qualified Small Business. The Company qualifies as a "Qualified Small Business" (as that term is defined in Section 1202(d) of the Code Code) and covenants that so long as its shares of capital stock are held by the Purchasers (or a transferee in whose hands the shares are eligible to qualify as Qualified Small Business Stock (as that term is defined in Section 1202(c) of or the Code)), it will use its reasonable best efforts to cause the shares to qualify as Qualified Small Business Stock, as so defined.

Qualified Small Business.
