QUALIFYING TERMINATION PAYMENTS AND CONDITIONS. (a) The Employee and the Company acknowledge and agree that the date of Termination is _______________, 201__. (b) Subject to the terms and conditions of the Employment Agreement, including the Employee’s execution and delivery of this Release Agreement and non-revocation of the ADEA Release contained herein, the Company agrees to pay or provide to the Employee the Severance Benefits as contemplated by Section 4 of the Employment Agreement in the manner set forth therein.
