Common use of Questionable Payments Clause in Contracts

Questionable Payments. Neither the Company nor, to the Company’s knowledge, any of its directors, officers, employees, agents or other Persons acting on behalf of the Company, has on behalf of the Company or in connection with its business: (a) used any corporate funds for unlawful contributions, gifts, entertainment or other unlawful expenses relating to political activity; (b) made any direct or indirect unlawful payments to any governmental officials or employees from corporate funds; (c) established or maintained any unlawful or unrecorded fund of corporate monies or other assets; (d) made any false or fictitious entries on the books and records of the Company; or (e) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment of any nature.

Questionable Payments. Neither the Company nor, to To the Company’s knowledgeKnowledge, any none of its current or former stockholders, directors, officers, employees, agents or other Persons acting on behalf of the Company, has on behalf of the Company or in connection with its business: (ai) used any corporate funds for unlawful contributions, gifts, entertainment or other unlawful expenses relating to political activity; (bii) made any direct or indirect unlawful payments to any governmental officials or employees from corporate funds; (ciii) established or maintained any unlawful or unrecorded fund of corporate monies or other assets; (div) made any false or fictitious entries on the books and records of the Company; or (ev) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment of any nature.

Neither To the Knowledge of the Company, no member of the Company nor, to the Company’s knowledge, Group nor any of its directors, officers, employees, agents their directors or officers or any other Persons acting on behalf of the CompanyCompany Group, has on behalf of any member of the Company Group or in connection with its businesstheir respective businesses: (ai) used any corporate funds for unlawful contributions, gifts, entertainment or other unlawful expenses relating to political activity; , (bii) made any direct or indirect unlawful payments to any governmental officials or employees from corporate funds; , (ciii) established or maintained any unlawful or unrecorded fund of corporate monies or other assets; , (div) made any false or fictitious entries on the books and records of the Company; Company Group or (ev) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment of any nature.

Neither the Company Buyer nor, to the CompanyBuyer’s knowledge, any of its shareholders, directors, officers, employees, agents or other Persons acting on behalf of the CompanyBuyer, has on behalf of the Company Buyer or in connection with any of its businessSubsidiaries: (a) used any corporate company funds for unlawful contributions, gifts, entertainment or other unlawful expenses relating to political activity; (b) made any direct or indirect unlawful payments to any governmental officials or employees from corporate fundsemployees; (c) established or maintained any unlawful or unrecorded fund of corporate monies or other assets; (d) made any false or fictitious entries on the books and records of the CompanyBuyer; or (e) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment of any nature.

Neither the Company nor, to the Company’s 's and the Shareholders' knowledge, any of its directors, officers, employeesagents, agents employees or other Persons person associated with or acting on behalf of the Company, Company has on behalf of the Company or in connection with its business: (a) used any corporate funds for unlawful contributions, gifts, entertainment or other unlawful expenses relating to political activity; , (b) made any direct or indirect unlawful payments to any governmental government officials or employees employees, or foreign government officials or employees, from corporate funds; , (c) established or maintained any unlawful or unrecorded fund of corporate monies or other assets; , (d) made any false or fictitious entries on the books and records of account of the Company; or , (e) made or received any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment of payment, or (f) made any natureother payment, favor or gift not fully deductible for federal income tax purposes.

Questionable Payments. Neither the Company nor, to the Company’s knowledgeKnowledge, any of its current or former stockholders, directors, officers, employees, agents or other Persons acting on behalf of the Company, has on behalf of the Company or in connection with its business: (a) used any corporate funds for unlawful contributions, gifts, entertainment or other unlawful expenses relating to political activity; (b) made any direct or indirect unlawful payments to any governmental officials or employees from corporate funds; (c) established or maintained any unlawful or unrecorded fund of corporate monies or other assets; (d) made any false or fictitious entries on the books and records of the Company; or (e) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment of any nature.

Questionable Payments. Neither the Company norCompany, to the Company’s knowledgenor its Members, any of its directors, officers, employeesagents, agents employees or other Persons acting on behalf of the Company, has persons associated with or active on behalf of the Company or in connection with its business: (a) have used any corporate funds of the Company for unlawful contributions, gifts, entertainment or other unlawful expenses relating to political activity; (b) made any direct or indirect unlawful payments to any governmental foreign or domestic government officials or employees from corporate funds; (c) violated or is in violation of any provision of the Foreign Corrupt Practices Act of 1977, as amended; established or maintained maintained, or any unlawful or unrecorded fund of corporate monies or other Company assets; (d) made any false or fictitious entries on the books and or records of the Company; or (e) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment of payment; or any naturematerial favor or gift which is not deductible for Tax purposes.

Questionable Payments. Neither the Company nor, to the Company’s knowledgeKnowledge, any of its current or former directors, officers, employees, agents or other Persons acting on behalf of the Company, has on behalf of the Company or in connection with its business: (a) used any corporate funds for unlawful contributions, gifts, entertainment or other unlawful expenses relating to political activity; (b) made any direct or indirect unlawful payments to any governmental officials or employees from corporate funds; (c) established or maintained any unlawful or unrecorded fund of corporate monies or other assets; (d) made any false or fictitious entries on the books and records of the Company; or (e) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment of any nature.

Neither the The Company has not, nor, to the knowledge of the Company’s knowledgeChief Executive Officer and Chief Financial Officer, has any of its current or former stockholders, directors, officers, employees, agents or other Persons acting on behalf of the Company, has on behalf of the Company or in connection with its business: (a) used any corporate funds for unlawful contributions, gifts, entertainment or other unlawful expenses relating to political activity; (b) made any direct or indirect unlawful payments to any governmental officials or employees from corporate funds; (c) established or maintained any unlawful or unrecorded fund of corporate monies or other assets; (d) made any false or fictitious entries on the books and records of the Company; or (e) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful payment of any nature.
