Common use of QUORUM AND DIRECTORS’ INTERESTS Clause in Contracts

QUORUM AND DIRECTORS’ INTERESTS. 1.1 IT WAS RESOLVED that be appointed Chairman of the meeting. 1.2 The Chairman reported that notice of the meeting had been duly given to each director of the Company and that a quorum was present. Accordingly, the Chairman declared that the meeting was duly convened. 1.3 It was noted that those directors present who are also directors of shareholders of the Company or any other company in the Restricted Group or in any way (whether directly or indirectly) interested in the documents, the resolutions or the transactions contemplated thereby disclosed the nature and extent of those interests in accordance with the Company’s articles of association and section 177 of the Companies Xxx 0000 (the “Act”). The Chairman confirmed that notwithstanding any such interest, pursuant to the Company’s articles of association all such directors were entitled to count towards the quorum of the meeting and to vote on any resolution put to the meeting. Terms used but not defined in these minutes shall have the meaning given to them in the Facilities Agreements (as defined below) as the context may require.
