Rating Downgrade of Liquidity Lender. A Rating Downgrade below A-2 by S&P or P-2 by Moody's shall occur and be continuing for sixty (60) days (or such other period permitted by the Rating Agencies) with respect to any Liquidity Lender and such Liquidity Lender shall not have been replaced pursuant to Section 5.9 hereof.
