Common use of Reasonable Commercial Efforts; Cooperation Clause in Contracts

Reasonable Commercial Efforts; Cooperation. Subject to the termination rights of each party pursuant to Section 20.04, the Department and the Developer each agree to: (i) use reasonable commercial efforts to satisfy the conditions within their control to reach Financial Close on or prior to the Financial Close Deadline; and (ii) use reasonable commercial efforts to cooperate and assist the other party to reach Financial Close by the Financial Close Deadline. The Department also agrees to provide documents and information required to comply with any disclosure requirements under applicable Laws in connection with the issuance of the PABS or other capital markets issuance in connection with Financial Close.‌

Reasonable Commercial Efforts; Cooperation. Subject to the termination rights of each party pursuant to Section 20.0416.11, the Department and the Developer Concessionaire each agree to: (i) use reasonable commercial efforts to satisfy the conditions (including, without limitation, the conditions set forth in Section 6.01) within their control to reach NEXT Financial Close on or prior to the NEXT Financial Close Deadline; and (ii) use reasonable commercial efforts to cooperate and assist the other party to reach NEXT Financial Close by the NEXT Financial Close Deadline. The Department also agrees to provide documents and information required to comply with any disclosure requirements under applicable Laws in connection with the issuance of the PABS or other capital markets issuance in connection with Financial Close.‌.
