Common use of Reasonable Participation Clause in Contracts

Reasonable Participation. (a) In the event that the non-controlling Party elects or is required to participate in the defense of a Tax Controversy pursuant to Section 5.04(b)(ii) or (c), the Responsible Party shall (i) provide the non-controlling Party with notice reasonably in advance of any proceeding relating to such Tax Controversy and (ii) consult in good faith with the non-controlling Party on the resolution of the Tax Controversy and on any written submissions in connection with such Tax Controversy, including providing the non-controlling Party with an opportunity to review and provide comments on any written submission.
