Common use of Recalled Product Clause in Contracts

Recalled Product. To the extent that a Recall results from, or arises from Deficient Product, Patheon will be responsible for the reasonable documented out-of-pocket expenses of the Recall and will use its commercially reasonable efforts to replace the Deficient Product with replacement Products as per Section 10. In all other circumstances, Recalls, returns, or other corrective actions will be made at Client's cost and expense.

Recalled Product. To the extent that a Recall results from, or arises from Deficient Product, Patheon will be responsible for the reasonable documented out-of-pocket expenses of the Recall and Recall. Deficient Products will use its commercially reasonable efforts to replace the Deficient Product with replacement Products be remedied as per set out in Section 10. In If a Recall is necessary for reasons in addition to the fault or negligence of Patheon, then Patheon and Client will be responsible for a proportionate share of these costs, to be agreed between the parties. Subject to the above, Client will bear the costs of any recall in all other circumstances, Recalls, returns, or other corrective actions will be made at Client's cost and expense. Patheon’s only liability for API loss is set out in Appendix 3.

To the extent that a Recall results from, or arises from Deficient Product, Patheon will be responsible for the reasonable documented out-of-pocket expenses of conducting the Recall and will use its commercially reasonable efforts to replace (at its sole cost) the Deficient Product with replacement Products as per Section 10. In all other circumstances, Recalls, returns, or other corrective actions will be made at Client's cost and expense. Patheon’s only liability for API loss is set out in Appendix 3.

To the extent that a Recall results from, or arises from Deficient Product, Patheon will be responsible for the all reasonable documented out-of-pocket expenses of the Recall and will use its commercially reasonable efforts to replace the Deficient Product with replacement Products as per Section 10. In all other circumstances, Recalls, returns, or other corrective actions will be made at Client's ’s cost and expenseexpense unless caused by the negligent action or inaction of Patheon. Patheon’s only liability for API loss is set out in Appendix 3.
