Receipt of Agreements. The Subordinated Lender hereby acknowledges that it has delivered to each Senior Representative a correct and complete copy of the Subordinated Lending Agreements as in effect on the date hereof. The Subordinated Lender, solely for the payment of the Subordinated Note, hereby acknowledges receipt of a correct and complete copy of each of the Senior Indebtedness Agreements as in effect on the date hereof.
Receipt of Agreements. Subordinated Lender hereby acknowledges that it has delivered to Briar a correct and complete copy of the Subordinated Lender Agreements as in effect on the date hereof. Subordinated Lender, solely for the purposes of this Agreement, hereby acknowledges receipt of a correct and complete copy of each of the Briar Agreements as in effect on the date hereof.
Receipt of Agreements. Company hereby acknowledges that it has delivered to Bank a correct and complete copy of the Subordinated Lending Agreements as in effect on the date hereof. Subordinated Lender, solely for the purposes of this Agreement, hereby acknowledges receipt of a correct and complete copy of each of the Senior Lending Agreements as in effect on the date hereof.
Receipt of Agreements. On the date hereof, Parent shall have received executed originals of (i) the Voting Agreement and (ii) the Agreements with Specified Shareholders. On or prior to the Closing Date, Parent shall have received executed originals of each of the Employment Agreements.
Receipt of Agreements. The First Lien Agent hereby acknowledges that it has delivered to the Second Lien Agents a correct and complete copy of the First Lien Documents as in effect on the date hereof. The Second Lien Agents hereby acknowledge that they have delivered to the First Lien Agent a correct and complete copy of the Second Lien Documents as in effect on the date hereof.
Receipt of Agreements. Trustee hereby acknowledges that it has delivered to Agent a correct and complete copy of the Indentures as in effect on the date hereof. Agent hereby acknowledges that it has delivered to Trustee receipt of a correct and complete copy of the Loan Agreement as in effect on the date hereof.
Receipt of Agreements. The Subordinated Lender hereby acknowledges that it has delivered to the Agent a correct and complete copy of the Subordinated Lending Agreement as in effect on the date hereof. The Agent hereby acknowledges that it has delivered to the Subordinated Lender a correct and complete copy of the Credit Agreement as in effect on the date hereof.
Receipt of Agreements. The Company shall have executed and delivered counterparts of this Agreement.
Receipt of Agreements. On the date hereof, the Company shall have received executed originals of the Employment Agreements with the Named Executives.
Receipt of Agreements. Subordinated Lender hereby acknowledges that it has delivered to Senior Lender, and Senior Lender hereby acknowledges it has received, a correct and complete copy of the Subordinated Lending Agreements as in effect on the date hereof. Senior Lender hereby acknowledges that it has delivered to Subordinated Lender, and Subordinated Lender hereby acknowledges it has received, a correct and complete a copy of the Senior Lending Agreements as in effect on the date hereof.
