Receipt of Approvals, Etc. All approvals, consents and/or waivers that are necessary to effect the transactions contemplated hereby shall have been received, unless the required receipt of such approvals, consents and/or waivers is waived in writing by Purchaser. If the consent to the assignment of a Contract has not been received by the Closing Date, Purchaser may withhold a reasonable portion of the Purchase Consideration -- based upon the value of that Contract -- until such consent shall have been obtained.
