Common use of Receipt of Audited Financials Clause in Contracts

Receipt of Audited Financials. Notwithstanding anything contained in this Agreement to the contrary, the Purchaser shall not be required to consummate the Contemplated Transactions until and unless (i) the Company Financial Statements do not disclose a material adverse change from the unaudited financial statements of the Company previously delivered by the Company and/or the Sellers to the Purchaser, and (ii) the audited financial statements comply with all applicable rules and regulations of the Securities and Exchange Commission.
