Receipt of Legal Opinion. CSBI shall have received a legal opinion from Stradling, Yocca, Xxxxxxx & Xxxxx, counsel for Eldorado, addressed to CSBI and Merger Sub and dated the Closing Date, in form and substance reasonably satisfactory to CSBI, opining to the matters set forth on EXHIBIT 6.2.8, subject to customary assumptions and qualifications. Receipt of Legal Opinion. Eldorado shall have received a legal opinion from Xxxxxx, XxXxxxxxx & Fish, LLP, counsel for CSBI and Merger Sub, addressed to Eldorado and dated the Closing Date, in form and substance reasonably satisfactory to Eldorado, opining to the matters set forth on EXHIBIT 6.3.2, subject to customary assumptions and qualifications.
Receipt of Legal Opinion. HIIC, Parent and Sub shall have received the legal opinion of Xxxxxxx, Xxxxxxxx & Xxxxx addressed to each of them in such form as is reasonably acceptable to each of HIIC, Parent and Sub.

VIBC shall have received a legal opinion from McCormick, Barstow, Shepxxxx, Xxytx & Xarrxxx, XXP, counsel for BOS, addressed to VIBC and -49- 57 BOS Interim Bank and dated the Closing Date, substantially in the form set forth as Schedule 9.7 hereto or in such other form as agreed to by the parties.
