CSBI shall have received a legal opinion from Stradling, Yocca, Xxxxxxx & Xxxxx, counsel for Eldorado, addressed to CSBI and Merger Sub and dated the Closing Date, in form and substance reasonably satisfactory to CSBI, opining to the matters set forth on EXHIBIT 6.2.8, subject to customary assumptions and qualifications. VIBC shall have received a legal opinion from McCormick, Barstow, Shepxxxx, Xxytx & Xarrxxx, XXP, counsel for BOS, addressed to VIBC and -49- 57 BOS Interim Bank and dated the Closing Date, substantially in the form set forth as Schedule 9.7 hereto or in such other form as agreed to by the parties.
