The Company shall pay the fees and expenses of such Legal Counsel arising out of such review up to a maximum amount of $15,000, and the Holders shall be responsible for any fees and expenses relating to or arising out of any such review by the Legal Counsel in excess of such amount and for any fees and expenses of their respective Other Counsel.

If such Other Counsel is located and/or has a permanent presence in the jurisdiction where the Lawsuit is pending (such Other Counsel being "Local Counsel" for purposes hereof), Client shall bear all related Local Counsel Fees due and payable to such Local Counsel.
