Xxxxxx understands and acknowledges that Parent and Merger Sub are entering into the Merger Agreement in reliance upon Xxxxxx’s execution, delivery and performance of this Agreement and the representations, warranties, covenants, obligations and other agreements of Holder contained herein.

Receipt; Reliance. Shareholder has received and reviewed a copy of the Purchase Agreement. Shareholder understands and acknowledges that Parent and Buyer are entering into the Purchase Agreement in reliance upon Shareholder’s execution, delivery and performance of this Agreement.

Subscriber understands and acknowledges that Parent and Merger Sub are entering into the Merger Agreement in reliance upon Subscriber’s execution, delivery and performance of this Agreement and the representations, warranties, covenants, obligations and other agreements of Subscriber contained herein.

The Covered Shareholder understands and acknowledges that Parent and Sub are entering into the Merger Agreement in reliance upon the Covered Shareholder’s execution, delivery and performance of this Agreement.
