Common use of Receipt; Reliance Clause in Contracts

Receipt; Reliance. Xxxxxx has received and reviewed a copy of the Merger Agreement. Xxxxxx understands and acknowledges that Parent and Merger Sub are entering into the Merger Agreement in reliance upon Xxxxxx’s execution, delivery and performance of this Agreement and the representations, warranties, covenants, obligations and other agreements of Holder contained herein.
