Receivables Description. As of the related Receivables Contribution Date, the Daily Report delivered or transmitted pursuant to Section 20.1 sets forth in all material respects a complete listing of all Receivables (and any items of Related Property), acquired by the Company on the related Receivables Contribution Date and in which a security interest is granted to the Collateral Agent and the information contained in the Daily Report with respect to each such Receivable is true and correct (except for any errors or omissions that do not result in material impairment of the interests, rights or remedies of the Collateral Agent or the Lenders with respect to any Receivable) as of the related Receivables Contribution Date.
Receivables Description. As of the Cut-Off Date, Schedule 1 to this Agreement sets forth a complete listing of all Receivables, aggregated by Obligor, transferred to the Trust as of the Cut-Off Date and the information contained therein specified in clauses (i) and (ii) of the last paragraph of subsection 2.01(b) with respect to each such Receivable is true and correct (except for any errors or omissions that do not result in material impairment of the interests, rights or remedies of the Trustee or the Investor Certificateholders with respect to any Receivable) as of the Cut-Off Date. As of the Cut-Off Date, the aggregate amount of Receivables owned by the Company is accurately set forth in Schedule 1 hereto.

Each Originator Daily Report delivered, transmitted or received by the Contributor and referred to in subsection 2.01(a) of this Agreement sets forth in all material respects an accurate and complete listing of all Contributed Receivables to be contributed to the Company on such Contribution Date on such Contribution Date and the information contained therein in accordance with Schedule 11 to the U.S. Receivables Loan Agreement with respect to each such Contributed Receivable is true and correct as of such date.

As of the Cut-Off Date, the computer tape, diskette or data transmission delivered or transmitted pursuant to Section 2.01(e) sets forth in all material respects an accurate and complete listing of all Receivables sold to the Company as of the Cut-Off Date and the information contained therein in accordance with Schedule 1 with respect to each such Receivable is true and correct as of the Cut-Off Date. As of the Cut-Off Date, the aggregate amount of Receivables owned by the Seller is accurately set forth on such computer tape, diskette or data transmission.
Receivables Description. Each Originator Daily Report ----------------------- delivered, transmitted or received by the Contributor and referred to in subsection 2.01(a) ------------------ of this Agreement sets forth in all material respects an accurate and complete listing of all Receivables (and any Receivable Asset which can be so listed) to be contributed, transferred, assigned and conveyed to the Company on such Contribution Date or (as the case may be) offered for sale to the Contributor on the relevant date and the information contained therein in accordance with Schedule 1 with respect to each such Receivable is true and correct as of such ---------- date.

As of the Cut-Off Date or the Subsequent Cut-Off Date as applicable, the computer tape, diskette or data transmission delivered or transmitted pursuant to Section 2.01(d) hereof sets forth in all material respects an accurate and complete listing of all Receivables sold to the Company as of the Cut-Off Date or the Subsequent Cut-Off Date, as applicable, and the information contained therein in accordance with Schedule 2 with respect to each such Receivable is true and correct as of the Cut-Off Date or the Subsequent Cut-Off Date, as applicable. As of the Cut-Off Date or the Subsequent Cut-Off Date, as applicable, the aggregate amount of Receivables owned by such Seller is accurately set forth on such computer tape, diskette or data transmission.
Receivables Description. Each Originator Periodic Report delivered, transmitted or received by the Contributor pursuant to the Origination Agreements or the Servicing Agreement sets forth in all material respects an accurate and complete listing of all Contributed Receivables contributed, or to be contributed, by the Contributor to the Company and the information contained therein in accordance with Schedule 12 to the European Receivables Loan Agreement with respect to each such Contributed Receivable is true and correct as of such date.
Receivables Description. As of the Effective Date and each Subsequent Cut-Off Date, the computer tape, diskette or data transmission delivered or transmitted pursuant to Section 2.01(h) sets forth in all material respects an accurate and complete listing of all Receivables conveyed to the Buyer on or before the Effective Date or such Subsequent Cut-Off Date, as the case may be, and the information contained therein with respect to each such Receivable is true and correct as of the Effective Date or such Subsequent Cut-Off Date, as applicable. As of the Effective Date and each Subsequent Cut-Off Date, the aggregate amount of Receivables owned by such Originator is accurately set forth on such computer tape, diskette or data transmission.
