The business of Wentworth and the Wentworth -------------------------- Subsidiaries (as hereinafter defined), since their respective incorporation, has been limited to the search for an acquisition or merger partner and certain transactions described in its filings with the Commission (the "SEC Filings"), and except for transactions described in the SEC Filings, Wentworth and the Wentworth Subsidiaries have not engaged in any other business since their respective incorporation.
