Common use of Recipients of Confidential Information Clause in Contracts

Recipients of Confidential Information. Without limiting the generality of this Section 10.2, the Receiving Party shall disclose any of the Disclosing Party’s Confidential Information only to those of its Affiliates, officers, employees, assignees, licensees, Sublicensees, contract service providers, and its potential assignees, licensees and Sublicensees, and consultants and investors and potential investors that have a need to know the Disclosing Party’s Confidential Information, in order for the Receiving Party to exercise or confirm its rights and/or to perform its obligations under this Agreement, and only if such officers, employees, assignees, licensees, Sublicensees, contract service providers, and its potential assignees, licensees and Sublicensees, and consultants and investors and potential investors have executed appropriate non-disclosure agreements containing substantially similar terms regarding confidentiality and non-use as those set out in this Agreement or are otherwise bound by obligations of confidentiality effectively prohibiting the unauthorized use or disclosure of the Disclosing Party’s Confidential Information.

Without limiting the generality of this Section 10.211.2, the Receiving Party shall disclose any of the Disclosing Party’s 's Confidential Information only to those of its Affiliates, officers, employees, consultants, financial or legal advisors, assignees, licensees, Sublicensees, contract service providers, and its potential assignees, licensees and SublicenseesHealth Authorities collaborators, acquirers, and consultants and investors and potential investors that have a need to know the Disclosing Party’s 's Confidential Information, in order for the Receiving Party to exercise or confirm its rights and/or to perform its obligations under this Agreement, and only if such such, officers, employees, consultants, financial or legal advisors, assignees, licensees, Sublicensees, contract service providers, providers and its potential assignees, licensees and Sublicenseeslicensees, collaborators, acquirers, and consultants and investors and potential investors have executed appropriate non-disclosure agreements containing substantially similar terms regarding confidentiality and non-use as those set out in this Agreement or are otherwise bound by obligations of confidentiality effectively prohibiting the unauthorized use or disclosure of the Disclosing Party’s 's Confidential Information.
