RECITAL S. A. Pursuant to Transportation Code, Chapter 223, Subchapter F (the “Code”), TxDOT is authorized to enter into design-build contracts to facilitate private sector participation in the development of the State’s transportation system.
RECITAL S. A. PREPA and the Forbearing Creditors have entered into that certain Credit Agreement dated as of May 4, (as amended, restated, extended, supplemented or otherwise modified and in effect from time to time, the Agreement").
RECITAL S. A. Fourth Avenue Ventures Limited Partnership (“Fourth Avenue Ventures”), as landlord, and T Cell Sciences, Inc. (“T Cell”) entered into that certain lease dated May 1, 1996, as amended by letter agreement dated April 23, 2001 (collectively, the “Lease”) of certain premises consisting of 54,317 rentable square feet of space located on a portion of the first (1st) floor and a portion of the second (2nd) floor (the “Original Premises”) in the building located at and commonly known as 000-000 Xxxxxx Xxxxxx, Xxxxxxx, Xxxxxxxxxxxxx (the “Building”).
RECITAL S. A. Debtor is either a direct or an indirect wholly-owned subsidiary of MDWERKS, INC., a Delaware corporation (“Issuer”).
RECITAL S. A. Clean Cities - Atlanta desires to engage Sponsor to undertake an alternative fuel infrastructure project (the "Project"), described in more detail in Exhibit A attached hereto, to be partially financed by funds from the United States Department of Transportation, through the Federal Highway Administration, Georgia Department of Transportation, and the Georgia Regional Transportation Authority ("GRTA," and collectively with the aforementioned agencies, the "Funding Agencies"), evidenced by an agreement (the "Project Management Services Agreement") between GRTA and Clean Cities - Atlanta of even date herewith.
RECITAL S. A. The District (which provides and emergency services in the City of Orinda, the Town of Moraga and certain unincorporated territory) has identified an opportunity to consolidate two fire stations that currently serve portions of northeastern Orinda and the northwestern portion of the City into a single station.
RECITAL S. A. The Board of Trustees has determined to re-appoint Judge Sidel as the Municipal Judge of the Town of Foxfield pursuant to C.R.S. § 00-00-000, and desires to set the salary of Judge Sidel pursuant to C.R.S. § 00-00-000.
