Recitals Incorporated; Defined Terms. The foregoing recitals are hereby incorporated within and made an integral part of this Assignment as if fully set forth herein. Capitalized terms used in this Assignment but not otherwise defined shall have the meanings ascribed to them in the Agreement.
Recitals Incorporated; Defined Terms. The foregoing Recitals are incorporated into this First Amendment by reference as if fully set forth herein. All capitalized terms herein shall have the same meaning as defined in the Lease, unless expressly provided to the contrary. No Release. As the Lease is hereby reinstated, the Effective Date shall be deemed to be the date immediately following the scheduled expiration date of the Lease, and the Lease is hereby incorporated by reference. Notwithstanding any provision of the foregoing to the contrary, this First Amendment shall not in any way (i) be deemed to excuse or release Tenant from any obligation or liability with respect to the Premises under the Lease (including, without limitation, any obligation or liability under provisions of the Lease to indemnify, defend and hold harmless Landlord or other parties, or with respect to any breach or breaches of the Lease) which obligation or liability first arises on or prior to the Effective Date or arises out of or is incurred in connection with events or other matters which took place on or prior to such date, or (ii) affect any obligation under the Lease which by its terms is to survive the expiration or sooner termination of the Lease.
