Common use of RECONSTRUCTION OR AMALGAMATION Clause in Contracts

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against the Company or any Group Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against the Company or any Group Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If before the expiration of this Agreement the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is shall be offered employment with any concern or undertaking resulting from the such reconstruction or amalgamation for a period not less than the unexpired term of this Agreement and on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against the Company or any Group Company in respect of the termination of his employment under this Agreementhereunder by reason of such liquidation.

If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company Employer for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable favorable than the terms of this Agreement then the Executive shall have no claim against the Company Employer or any Group Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If before the expiration of this Agreement the employment of the Executive under this Agreement is hereunder shall be terminated by reason of the liquidation of the Company for the purpose of amalgamation or reconstruction or as part of any arrangement for the amalgamation of the undertaking of the Company not involving a liquidation and the Executive is shall be offered employment with any concern the amalgamated or undertaking resulting from the reconstruction or amalgamation reconstructed company on terms and conditions not no less favourable than the terms of this Agreement then the Executive shall have no claim against the Company or any Group Company in respect of the termination of his employment under this Agreementby the Company hereunder.

RECONSTRUCTION OR AMALGAMATION. 18.1 If the employment of the Executive Director under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive Director is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive Director shall have no claim against the Company or any Group Company in respect of the termination of his employment under this Agreement.

If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement Agreement, then the Executive shall have no claim against the Company or any Group Company in respect of the termination of his employment under this Agreement.

If before the termination of this Agreement the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking company resulting from the such reconstruction or amalgamation or with any Associated Company, in the capacity of Chief Executive on terms and conditions not less favourable than the terms of this Agreement Agreement, then the Executive shall have no claim against the Company or any Group Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement is terminated by reason because of the liquidation of the Company for the purpose of amalgamation or reconstruction or amalgamation and the Executive is offered employment with any concern such amalgamated or undertaking resulting from the reconstruction or amalgamation reconstructed company on terms and conditions not no less favourable in all material respects than the terms of this Agreement then the Executive shall have no claim against the Company or any Group Company in respect of the termination of his employment under this Agreementsuch termination.

If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement Agreement, then the Executive shall have no claim against the Company or any Group Company in respect of the termination of his her employment under this Agreement.

If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement Agreement, which the Executive unreasonably refuses, then the Executive shall have no claim against the Company or any Group Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If before the expiration of this Agreement the employment of the Executive under this Agreement is hereunder shall be terminated by reason of the liquidation cessation of business by the Company or the winding up of the Company for the purpose of reconstruction or amalgamation amalgamation, and the Executive is he shall be offered employment with any concern or undertaking resulting from the such reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement Agreement, then the Executive shall have no claim against the Company or any other Group Company in respect of the termination determination of his employment under this Agreementhereunder.

If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered reasonable alternative employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against the Company or any Group Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement is terminated tenninated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement Agreement, then the Executive shall have no claim against the Company or any Group Company in respect of the termination tennination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. 17.1 If the employment of the Executive Director under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive Director is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive Director shall have no claim against the Company or any Group Company in respect of the termination of his employment under this Agreement.

RECONSTRUCTION OR AMALGAMATION. If the employment of the Executive under this Agreement is terminated by reason of the liquidation of the Company for the purpose of reconstruction or amalgamation and the Executive is offered employment with any concern or undertaking resulting from the reconstruction or amalgamation on terms and conditions not less favourable than the terms of this Agreement then the Executive shall have no claim against the Company or any Group Company in will respect of the termination of his employment under this Agreement.
