Common use of Records and Accounting Clause in Contracts

Records and Accounting. The Company shall keep, or cause to be kept, appropriate books and records with respect to the Company’s business, including all books and records necessary to provide any information, lists and copies of documents required to be provided pursuant to Section 8.03 or pursuant to applicable Laws. All matters concerning (a) the determination of the relative amount of allocations and Distributions among the Members pursuant to Articles III and IV and (b) accounting procedures and determinations, and other determinations not specifically and expressly provided for by the terms of this Agreement, shall be determined by the Manager, whose determination shall be final and conclusive as to all of the Members absent manifest clerical error.

Records and Accounting. All Subject to Section 9.01, all matters concerning (a) the determination of the relative amount of allocations and Distributions among the Members pursuant to Articles III IV and IV V and (b) accounting procedures and determinations, and other determinations not specifically and expressly provided for by the terms of this Agreement, shall be determined by the Manager, whose determination shall be final and conclusive as to all of the Members absent manifest clerical error, gross negligence or bad faith.

Records and Accounting. The Company shall keep, or cause to be kept, appropriate books and records with respect to the Company’s business, including all books and records necessary to provide any information, lists and copies of documents required to be provided pursuant to Section 8.03 7.2 or pursuant to applicable Lawslaws. All matters concerning (a) the determination of the relative amount of allocations and Distributions among the Members Unitholders pursuant to Articles Article III and Article IV and (b) accounting procedures and determinations, and other determinations not specifically and expressly provided for by the terms of this Agreement, shall be determined by the ManagerBoard, whose determination shall be final and conclusive as to all of the Members Unitholders absent manifest clerical error.

Records and Accounting. Records and Accounting. The Company shall keep, or cause to be kept, the books of account of the business in conformity with GAAP, together with all other appropriate books and records with respect to the Company’s business, including all books and records necessary to provide any information, lists and copies of documents required to be provided pursuant to Section 8.03 or pursuant to applicable LawsLaw. All matters concerning (a) the determination of the relative amount of allocations and Distributions among the Members pursuant to Articles III and IV and (b) accounting procedures and determinations, and other determinations not specifically and expressly provided for by the terms of this Agreement, shall be determined by the Manager, whose determination shall be final and conclusive as to all of the Members absent manifest clerical error.

All matters concerning (a) the determination of the relative amount of allocations and Distributions distributions among the Members pursuant to Articles III V and IV VI, and (b) accounting procedures and determinations, and other determinations not specifically and expressly provided for by the terms of this Agreement, shall be determined by the ManagerBoard, whose determination shall be final and conclusive as to all of the Members absent manifest clerical error.

Records and Accounting. The Company shall keep, or cause to be kept, appropriate books and records with respect to the Company’s business, including all books and records necessary to provide any information, lists and copies of documents required to be provided pursuant to Section 8.03 0 or pursuant to applicable Lawslaws. All matters concerning (ai) the determination of the relative amount of allocations and Distributions distributions among the Members Unitholders pursuant to Articles Article II and Article III and IV and (bii) accounting procedures and determinations, and other determinations not specifically and expressly provided for by the terms of this Agreement, shall be determined in good faith by the ManagerBoard, whose determination shall be final and conclusive as to all of the Members Unitholders absent manifest clerical error.. 8.2
