Common use of Redemption by Instalments and Final Redemption Clause in Contracts

Redemption by Instalments and Final Redemption. (i) Unless previously redeemed, purchased and cancelled as provided in this Condition 5 each Note that provides for Instalment Dates (being one of the dates so specified in the relevant Final Terms) and Instalment Amounts (as so specified in the relevant Final Terms) shall be partially redeemed on each Instalment Date at the related Instalment Amount. The outstanding nominal amount of each such Note shall be reduced by the Instalment Amount (or, if such Instalment Amount is calculated by reference to a proportion of the nominal amount of such Note, such proportion) for all purposes with effect from the related Instalment Date, unless payment of the Instalment Amount is improperly withheld or refused, in which case such amount shall remain outstanding until the Relevant Date relating to such Instalment Amount. (ii) Unless previously redeemed, purchased and cancelled as provided below, each Note shall be finally redeemed on the Maturity Date specified hereon at its Final Redemption Amount (which, unless otherwise provided, is its nominal amount) or, in the case of a Note falling within paragraph (i) above, its final Instalment Amount.

(ii) Unless previously redeemed, purchased and cancelled as provided below, each Note shall be finally redeemed on the Maturity Date specified hereon in the Final Terms at its Final Redemption Amount (which, unless otherwise providedprovided in the Final Terms, is its nominal amount) or, in the case of a Note falling within paragraph (i‎(i) above, its final Instalment Amount.

(iii) Undated Subordinated Notes and Undated Subordinated Guaranteed Notes have no final maturity date and are only redeemable in accordance with the following provisions of this Condition 6 or Condition 10.

(i) Unless previously redeemed, purchased and cancelled as provided in this Condition 5 each Note that provides for or the relevant Instalment Dates Date (being one of the dates so specified hereon) is extended pursuant to any Issuer’s or Noteholder’s option in the relevant Final Termsaccordance with Condition 5(d) or 5(e), each Note that provides for Instalment Dates and Instalment Amounts (as so Amount specified in the relevant Final Terms) shall be partially redeemed on each Instalment Date at the related Instalment Amounthereon. The outstanding nominal amount of each such Note shall be reduced by the Instalment Amount Amounts (or, if such Instalment Amount is calculated by reference to a proportion of the nominal amount of such Note, such proportion) for all purposes with effect from the related Instalment Date, unless payment of the Instalment Amount is improperly withheld or refusedrefused on presentation of the related Receipt, in which case case, such amount shall remain outstanding until the Relevant Date relating to such Instalment Amount. (ii) Unless previously redeemed, purchased and cancelled as provided belowbelow or its maturity is extended pursuant to any Issuer’s or Noteholder’s option in accordance with Condition 5(d) or 5(e), each Note shall be finally redeemed on the Maturity Date specified hereon at its Final Redemption Amount (which, unless otherwise provided, is its nominal amount) or, in the case of a Note falling within paragraph (i) above, its final Instalment Amount.
