Reference to Purchase Agreement. Capitalized terms used herein but not otherwise defined herein shall have the respective meanings ascribed to them in the Purchase Agreement.

Reference to Purchase Agreement. Reference is made to a Purchase and Sale Agreement dated June ___, 1998 between Assignor, as seller, and Assignee, as purchaser, pursuant to which Assignor has agreed to sell to Assignee, and Assignee has agreed to purchase from Assignor, the improved real property and other assets described therein (the "Purchase Agreement"). Capitalized terms used herein and not otherwise defined herein shall have the meanings set forth in the Purchase Agreement.
