Reference to Purchase Agreement. Reference is made to that certain Purchase Agreement dated as of January______________, 2004, by and between Seller and Purchaser, pursuant to which Seller has agreed to sell to Purchaser, and Purchaser has agreed to purchase from Seller, the improved real property and other assets described therein ("Purchase Agreement"). Capitalized terms used herein and not otherwise defined herein shall have the meaning set forth in the Purchase Agreement.
Reference to Purchase Agreement. Reference is made to a Purchase and Sale Agreement dated June ___, 1998 between Assignor, as seller, and Assignee, as purchaser, pursuant to which Assignor has agreed to sell to Assignee, and Assignee has agreed to purchase from Assignor, the improved real property and other assets described therein (the "Purchase Agreement"). Capitalized terms used herein and not otherwise defined herein shall have the meanings set forth in the Purchase Agreement.

Reference to Purchase Agreement. From and after the Amendment Effective Date, each reference in the Purchase Agreement to “this Purchase Agreement”, “hereof”, “hereunder” or words of like import, and all references to the Purchase Agreement in any and all agreements, instruments, documents, notes, certificates and other writings of every kind and nature, shall be deemed to mean the Purchase Agreement as modified and amended by this Amendment.
Reference to Purchase Agreement. This Secured Subordinated Promissory Note (this “Note”) is executed and delivered pursuant to Exchange Agreement. Capitalized terms not otherwise defined herein shall have the meanings ascribed to them in the Exchange Agreement. As used herein all references to the Purchase Agreement shall include the Exchange Agreement.
Reference to Purchase Agreement. This Note is issued pursuant to Section 2.6.1 of the Purchase Agreement, the terms of which are hereby incorporated into this Note.
Reference to Purchase Agreement. Each reference in the Purchase Agreement to “this Agreement,” “hereunder,” or words of like or similar import shall mean and be a reference to the Purchase Agreement, as modified and amended by this Amendment.

Reference to Purchase Agreement. Upon the effectiveness of this Agreement, each reference in the Purchase Agreement to "this Agreement", "hereunder", "hereof", "herein" or words of like import shall mean and be a reference to the Purchase Agreement, as amended and restated hereby, and each reference in the Purchase Agreement, the Related Documents and any other document, instrument or agreement executed and/or delivered in connection with the Purchase Agreement to "the Purchase Agreement", "the Receivables Purchase and Servicing Agreement" or words of like import shall mean and be a reference to the GE Capital Corporation/Blue Hill II, Inc. Amended and Restated Receivables Purchase and Servicing Agreement Purchase Agreement, as amended and restated hereby. The execution, delivery and effectiveness of this Agreement shall not operate as a waiver of any right, power or remedy of any Purchaser, Purchaser Agent or the Administrative Agent under this Agreement or any other Related Document, nor constitute a waiver of any provision contained therein. Reference to Purchase Agreement. The terms, conditions, and provisions of the Purchase Agreement are incorporated herein by reference, the same as if set forth herein verbatim, which terms, conditions, and provisions shall continue to be in full force and effect hereunder until such time as the Obligations (as defined below) are paid and performed in full.
