Common use of Refinancing of Existing Credit Agreement Clause in Contracts

Refinancing of Existing Credit Agreement. (i) All obligations under the Existing Credit Agreement shall have been repaid in full, (ii) the Existing Credit Agreement and all Loan Documents (as defined therein) shall have been terminated on terms reasonably satisfactory to the Administrative Agent and (iii) the Administrative Agent shall have received a payoff letter duly executed and delivered by the respective borrower and agents thereunder or other evidence of such termination, in each case, in form and substance reasonably satisfactory to the Administrative Agent.

Refinancing of Existing Credit Agreement. (i) All obligations under the Existing Credit Agreement shall have been repaid in full, (ii) the Existing Credit Agreement and all Loan Documents (as defined therein) shall have been terminated (and all Liens securing such Existing Credit Agreement shall be released) on terms reasonably satisfactory to the Administrative Agent and (iii) the Administrative Agent shall have received a payoff letter duly executed and delivered by the respective borrower Borrower and agents thereunder the Existing Agent or other evidence of such termination, termination in each case, case in form and substance reasonably satisfactory to the Administrative Agent.

Refinancing of Existing Credit Agreement. (i) All obligations under the Existing Credit Agreement shall have been repaid in full, (ii) the Existing Credit Agreement and all Loan Documents (as defined therein) shall have been terminated on terms reasonably satisfactory to the Administrative Agent Agents and (iii) the Administrative Agent Agents shall have received a payoff letter duly executed and delivered by the respective borrower Company and agents thereunder the Administrative Agent under the Existing Agreement or other evidence of such termination, in each case, case in form and substance reasonably satisfactory to the Administrative AgentAgents.

(i) All obligations under the Existing Credit Agreement Agreements shall have been repaid in full, (ii) the Existing Credit Agreement Agreements and all Loan Documents (as defined therein) shall have been terminated on terms reasonably satisfactory to the Administrative Agent and (iii) the Administrative Agent shall have received a payoff letter duly executed and delivered by the respective borrower Holdings and agents thereunder each Existing Lender or other evidence of such termination, termination in each case, case in form and substance reasonably satisfactory to the Administrative Agent.

Refinancing of Existing Credit Agreement. (i) All obligations under the Existing Credit Agreement shall have been repaid in full, (ii) all commitments thereunder shall have been terminated, (iii) all liens granted under the Existing Credit Agreement and all Loan Collateral Documents (as defined thereinin the Existing Credit Agreement) shall have been terminated on terms reasonably satisfactory to the Administrative Agent and (iiiiv) the Administrative Agent shall have received a payoff letter duly executed and delivered by the respective borrower Borrower and agents thereunder or other evidence of such termination, in each case, the Existing Agent in form and substance reasonably satisfactory to the Administrative AgentAgents.

Refinancing of Existing Credit Agreement. (i) All obligations "Revolving Loans" under and as defined in the Existing Credit Agreement shall have been repaid in full, (ii) the "Revolving Commitments" under and as defined in the Existing Credit Agreement and all Loan Documents (as defined therein) shall have been terminated on terms reasonably satisfactory to the Administrative Agent and (iii) the Administrative Agent shall have received a payoff letter duly executed and delivered by the respective borrower Borrower and agents thereunder Bank of America, N.A., as the Revolving Agent, or other evidence of such termination, termination in each case, case in form and substance reasonably satisfactory to the Administrative Agent.

Refinancing of Existing Credit Agreement. (i) All obligations under the Existing Credit Agreement shall have been repaid in fullfull or will be paid in full on the Closing Date with the proceeds of Loans made on the Closing Date, (ii) the Existing Credit Agreement and all Loan Finance Documents (as defined therein) shall have been terminated on terms reasonably satisfactory to the Administrative Agent and (iii) the Administrative Agent shall have received a payoff letter duly executed and delivered by GLG Holdings Limited and the respective borrower and agents thereunder Existing Lender or other evidence of such termination, termination in each case, case in form and substance reasonably satisfactory to the Administrative Agent.

Refinancing of Existing Credit Agreement. Concurrently with the Closing Date, (i) All all obligations under the Existing Credit Agreement shall have been repaid in full, and (ii) the Existing Credit Agreement and all Loan Documents (as defined therein) shall have been terminated on terms reasonably satisfactory to the Administrative Agent and (iii) the Administrative Agent shall have received a payoff letter duly executed and delivered by the respective borrower and agents thereunder or other evidence of such termination, in each case, in form and substance reasonably satisfactory to the Administrative Agent.

Refinancing of Existing Credit Agreement. (i) All obligations under the Existing Credit Agreement shall have been repaid in full, (ii) the Existing Credit Agreement and all Loan Documents (as defined therein) shall have been terminated on terms reasonably satisfactory to the CREDIT AGREEMENT U.S. CONCRETE, INC. Administrative Agent and (iii) the Administrative Agent shall have received a payoff letter duly executed and delivered by the respective borrower Borrower and agents thereunder the Existing Agent or other evidence of such termination, termination (and the release of all Liens securing the Existing Credit Agreement) in each case, case in form and substance reasonably satisfactory to the Administrative Agent.

(i) All obligations under the Existing Credit Agreement shall have been repaid in full, (ii) the Existing Credit Agreement and all Loan Documents (as defined therein) and all Liens thereunder shall have been terminated on terms reasonably satisfactory to the Administrative Agent and (iii) the Administrative Agent shall have received a payoff letter duly executed and delivered by the respective borrower Borrower and agents thereunder the Existing Agent or other evidence of such termination, termination in each case, case in form and substance reasonably satisfactory to the Administrative Agent.

(i) All Indebtedness and other obligations issued under or in connection with the Existing Credit Agreement shall have been repaid in full, (ii) the Existing Credit Agreement and all Loan Documents (as defined therein) documents executed in connection therewith shall have been terminated on terms reasonably satisfactory to each of the Administrative Agent and the Syndication Agent and (iii) the Administrative Agent shall have received a an executed payoff letter duly executed and delivered by the respective borrower and agents thereunder or other evidence of such termination, in each case, with respect thereto in form and substance reasonably satisfactory to the Administrative Agent and the Syndication Agent.
