Common use of Refusal of Registration Clause in Contracts

Refusal of Registration. The Company shall be entitled, and may direct the Subscription Receipt Agent, to refuse to recognize any transfer, or enter the name of any transferee, of any Subscription Receipt on the registers referred to in Section 3.01(a) or on any branch register maintained pursuant to Section 3.01(g) if such transfer would constitute a violation of the laws of any jurisdiction or the instruments, rules, regulations or policies of any regulatory authority having jurisdiction.

Refusal of Registration. The Company Corporation shall be entitled, and may direct the Subscription Receipt Agent, to refuse to recognize any transfer, or enter the name of any transferee, of any Subscription Receipt on the registers referred to in Section 3.01(a) hereof or on any branch register maintained pursuant to Section 3.01(g) hereof if such transfer would constitute a violation of the laws of any jurisdiction or the instruments, rules, regulations or policies of any regulatory authority (including the Stock Exchange) having jurisdiction.

Refusal of Registration. The Subscription Receipt Agent shall promptly advise the Company of any requested transfers of Subscription Receipts. The Company shall be entitled, and may direct the Subscription Receipt Agent, to refuse to recognize any transfer, or enter the name of any transferee, of any Subscription Receipt on the registers referred to in Section 3.01(a) or on ), for any branch register maintained pursuant to Section 3.01(g) reason whatsoever, including if such transfer would constitute a violation of the laws of any jurisdiction or the instruments, rules, regulations or policies of any regulatory authority (including the Exchange) having jurisdiction.
