Regarding the Higher Education Act. The Seller shall, both before and after each Closing Date, take all such action, or refrain from taking such action, to the extent necessary and reasonable to be taken or not taken by the Seller in its capacity as assignor in order to comply with the requirements of the Higher Education Act, so that the receipt of Special Allowance Payments and Interest Subsidy Payments, if applicable, with respect to Financed Student Loans will not be adversely affected.
