Common use of Registered IP Clause in Contracts

Registered IP. Part 2.10(a) of the Disclosure Schedule accurately identifies: (i) each item of Registered IP in which the Company has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person or otherwise); (ii) the jurisdiction in which such item of Registered IP has been registered or filed and the applicable registration or serial number; and (iii) any other Person that has an ownership interest in such item of Registered IP and the nature of such ownership interest. The Company has delivered to Parent complete and accurate copies of all applications, material correspondence with any Governmental Body and other material documents related to each such item of Registered IP.

Registered IP. Part 2.10(aSection 3.12(a) of the Disclosure Schedule accurately identifies: identifies (i) each item of Registered IP in which the Company has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person Person, or otherwise); (ii) the jurisdiction in which such item of Registered IP has been registered or filed and the applicable registration or serial number; and (iii) any other Person that has an ownership interest in such item of Registered IP and the nature of such ownership interest. The Company has delivered or made available to Parent complete and accurate copies of all applications, material correspondence with any Governmental Body correspondence, and other material documents related to each such item of Registered IP.

Part 2.10(a2.10(b) of the Company Disclosure Schedule accurately identifies: (i) each item of Registered IP in which any of the Company Acquired Corporations has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person Person, or otherwise); (ii) the jurisdiction in which such item of Registered IP has been registered or filed and the applicable registration or serial number; and (iii) any other Person that has an ownership interest in such item of Registered IP and the nature of such ownership interest. The Company has delivered provided to Parent complete and accurate copies of all applications, material correspondence with any Governmental Body Body, and other material documents related to each such item of Registered IP.

Part 2.10(a2.12(b) of the Company Disclosure Schedule accurately identifies: (i) each item of Registered IP in which the Company has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person Person, or otherwise); (ii) the jurisdiction in which such item of Registered IP has been registered or filed and the applicable registration or serial number; and (iii) any other Person that has an ownership interest in such item of Registered IP and the nature of such ownership interest. The Company has delivered provided to Parent or made available on the Datasite complete and accurate copies of all applications, material applications for registration and correspondence with any Governmental Body and other material documents related to each regarding such item of Registered IPapplications.

The Company has delivered provided to Parent complete and accurate copies of all applications, material correspondence with any Governmental Body and other material documents related to each such item of Registered IP.

Part 2.10(a2.9(b) of the Disclosure Schedule accurately identifies: (ia) each item of Registered IP in which the Company has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person Person, or otherwise); (iib) the jurisdiction in which such item of Registered IP has been registered or filed and the applicable registration or serial number; and (iiic) any other Person that has an ownership interest in such item of Registered IP and the nature of such ownership interest. The Company has delivered provided to Parent accurate and complete and accurate copies of all applications, material correspondence with any Governmental Body Body, and other material documents related to each such item of Registered IP.

Part 2.10(aSection 2.13(b) of the Disclosure Schedule accurately identifies: (i) each item of Registered IP in which the Company has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person Person, or otherwise); (ii) the jurisdiction in which such item of Registered IP has been registered or filed and the applicable registration or serial number; and (iii) any other Person that has an ownership interest in such item of Registered IP and the nature of such ownership interest. The Company has delivered provided to Parent Buyer complete and accurate copies of all applications, material applications and correspondence with any Governmental Body Entity and other material documents related to all assignments for each such item of Registered IP.

Part 2.10(a2.9(a) of the Disclosure Schedule accurately identifies: (ia) each item of Registered IP in which the Company Seller has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person Person, or otherwise); (iib) the jurisdiction in which such item of Registered IP has been registered or filed and the applicable registration or serial number; and (iiic) any other Person that has an ownership interest in such item of Registered IP and the nature of such ownership interest. The Company Seller has delivered provided to Parent the Purchaser complete and accurate copies of all applications, material correspondence with any Governmental Body Body, and other material documents related to each such item of Registered IP.
