Registered Rights. 7.1(a) The Target Company is the sole legal owner of all Intellectual Property Rights registered or sought to be registered in any jurisdiction which are held or beneficially owned by the Target Company.

The Company has not granted and there are no outstanding options, licenses or agreements of any kind relating to any Intellectual Property owned by and registered in the name of the Company, nor are they a party to any option, license or agreement of any kind with respect to any of its Intellectual Property. The Company is not bound to pay any royalties or other payments to third parties with respect to the marketing, sale, distribution, license or use of any Intellectual Property that is material to the business of the Company. The Company has not violated or infringed, and is not currently violating or infringing any Intellectual Property of any other Person or entity. The Company has not received any communications alleging that the Company (or any of their employees) has not violated or infringed or, by conducting their business as proposed, would violate or infringe, any Intellectual Property of any other Person or entity. Each item of Intellectual Property has been duly registered with, filed in or issued by the appropriate Governmental Authority, to the extent required, and each such registration, filing and issuance remains in full force and effect.
