Management Stockholder shall have entered into the Company's registration agreement (the "LLC Registration Agreement") on the Closing Date and shall have executed and delivered to the Company a counterpart signature page thereto. The LLC Registration Agreement shall be in full force and effect as of the Closing, and the parties to the LLC Registration Agreement shall not be in breach of any of the terms thereof.
